SCHEDULE 1 – COMMERCIAL TERMS

This Schedule forms part of, and must be read in conjunction with, the MCX Tech Customer Account Application & Commercial Agreement and the MCX Tech Standard Terms & Conditions of Trade.
1. COMMERCIAL STRUCTURE
1.1 MCX Tech Pty Ltd (MCX Tech) provides Goods and Services across the following categories:

3. MCX TECH SERVICE MARGIN
3.1 MCX Tech applies a commercial service margin reflecting governance, coordination, financial management, and technical integration.
3.2 Margin tiers:
Tier 1 – Base Margin (Non-Negotiable): Minimum 10%
Tier 2 – Structured Transactions: Standard 15%
Tier 3 – High-Complexity Transactions: Up to 20%
3.3 Margin is determined by MCX Tech and confirmed prior to order.
4. PAYMENT TERMS
4.1 Accepted terms:
4.2 30 Day accounts are payable 28 days from end of invoice month.
4.3 Deposits and milestone payments may apply.
4.4 MCX Tech may withhold delivery or suspend services for non-payment.
5. LATE PAYMENT & ENFORCEMENT
5.1 Time is of the essence for all payments.
5.2 Interest up to 12% p.a. may apply to overdue accounts.
5.3 Recovery costs, including legal fees, may be charged.
5.4 MCX Tech may suspend accounts or require prepayment.
6. FREIGHT, TRAVEL & SITE COSTS
6.1 Customer is responsible for freight, insurance, travel, accommodation, and site costs.
6.2 Additional charges may apply for remote or urgent work.
7. VARIATIONS & SCOPE CHANGES
7.1 Variations may result in revised pricing and timelines.
7.2 Variations must be approved in writing where practicable.
8. PROJECT DELIVERY & TIMELINES
8.1 Timelines are indicative only.
8.2 MCX Tech is not liable for delays outside its control.
9. MCX TECH CUSTOMER RESPONSIBILITIES
9.1 Customer must provide accurate information, safe access, and follow instructions.
9.2 Delays caused by customer may result in additional costs.
10. CANCELLATIONS & DEPOSITS
10.1 Deposits are non-refundable once goods are ordered.
10.2 Cancellation may result in full cost recovery and fees.
11. CREDIT & SECURITY
11.1 MCX Tech may assign or withdraw credit.
11.2 Customer agrees to PPSA security interest registration.
12. TAXATION
12.1 All amounts exclude GST unless stated.
12.2 GST applied per Australian law.
13. DISPUTES
13.1 Disputes must be raised within 7 days in writing.
13.2 Undisputed amounts must still be paid.
14. ACCEPTANCE
14.1 Engagement, quote acceptance, or account setup constitutes acceptance of this Schedule.
